1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Service Relay (“we,” “our,” or “us”) governing your access to and use of the Service Relay platform, website, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Service Relay provides an AI-powered phone answering platform that allows home service businesses to automatically handle inbound calls, answer frequently asked questions, capture leads, and escalate calls to the business owner when needed. The Service integrates with third-party telephony and AI providers. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old and legally authorized to enter into contracts in your jurisdiction to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate and complete.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at human@servicerelay.io if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account due to your failure to safeguard your credentials.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation, including telemarketing, TCPA, or consumer protection laws
Impersonate a human agent without appropriate disclosure when required by law
Engage in spam, robocalling, or unsolicited commercial communications
Transmit harmful, fraudulent, defamatory, or illegal content
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to any part of the Service or its related systems
Resell or sublicense the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

6. Call Recording & Compliance

The Service records and transcribes phone calls handled by your AI assistant. You are solely responsible for compliance with all applicable call-recording and wiretapping laws in your jurisdiction and in the jurisdictions of your callers, including but not limited to the federal Electronic Communications Privacy Act and applicable state two-party consent laws. This includes configuring any required disclosures in your assistant’s greeting. Service Relay does not provide legal advice and is not responsible for your compliance obligations.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate responses on your behalf. AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and configuring your assistant’s knowledge base and responses. We make no warranty that AI-generated responses will be accurate, suitable for your business, or compliant with industry-specific regulations (e.g., licensing disclosures). You assume all risk arising from reliance on AI-generated content delivered to your callers.

8. Fees & Payment

Subscription fees are billed in advance on a monthly or annual basis, as selected at signup. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We may update pricing with 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing. Overdue balances may result in service suspension.

9. Intellectual Property

Service Relay and its licensors retain all rights to the platform, software, trademarks, and content we provide. You retain ownership of the content you upload (knowledge base entries, business information). By uploading content, you grant us a limited license to use that content solely to provide and improve the Service.

10. Third-Party Services

The Service integrates with third-party providers including Twilio, Vapi, and Supabase. Your use of these providers is subject to their respective terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVICE RELAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Service Relay and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) content you provide through the Service.

14. Termination

You may cancel your account at any time through your dashboard settings. We may suspend or terminate your access immediately if you violate these Terms or if we reasonably determine that continued access poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections 7, 11, 12, 13, and 16 survive termination.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in court. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
